AFFILIATE AGREEMENT
TERMS & CONDITIONS

1. ECOVILLAGERS
If you enroll as an ecovillager, you will be bound by the Peace Ecovillage's policies & procedures decided and adopted in consensus, by all members, at a special general meeting.

2. APPOINTMENT
WebMusic-MusiqueWeb hereby appoints the Affiliate, noted in the electronic enrollment form, as a non-exclusive Affiliate, for a period starting at date of enrollment.

Each Affiliate is automatically enrolled as a DJ for free, for life, from his/her Sponsor's site.

After his/her enrollment, the Affiliate receives an e-mail showing him/her how to access his/her "CCC".

The Affiliate may decide to become a Qualified DJ by making automatic monthly $20 US donations or a unique $99 US donation to qualify for 1 full year.

The Affiliate may also apply, by e-mail, to become an "Enroll and Training Center" or "ETC". To do that, he/she must have qualified as a Gold 15 DJs Club member before applying.

The Affiliate agrees that he/she cannot recover by any means the donations made to WebMusic-MusiqueWeb, in full accordance with the Chart of the International Marketing Association, which WebMusic-MusiqueWeb is a division of. The Chart has been granted by the Quebec Financial Institutions General Inspector, under matricule number 1147610514.

WebMusic-MusiqueWeb may terminate the appointment for just cause which shall include (without limitation) any breach by the Affiliate of WM-MW's policies and procedures or these terms and conditions or if the Affiliate is not representing the best interests of WebMusic-MusiqueWeb.

The Affiliate accepts such appointment subject to these terms and conditions and all policies and procedures determined from time to time by WebMusic-MusiqueWeb, in its sole and absolute discretion.

3. BUY-BACK POLICY
Since there is no inventories to carry at all, due to the electronic nature of the product, the Affiliate can recover any defective song, for any reason, at all time, from his/her Download Center, without affecting his/her download credits.

4. SOLICITATION
The Affiliate shall solicit donations on his/her Affiliate site, using lawful and ethical sollicitation practices and in accordance with applicable policies and procedures determined from time to time by WebMusic-MusiqueWeb, in its sole and absolute discretion.

WebMusic-MusiqueWeb has the right to refuse a donation from any person or corporation, for any reason, in its sole discretion.

Notwithstanding anything to the contrary herein contained or implied, the Affiliate shall not and is not entitled to bind WebMusic-MusiqueWeb in any way.

WebMusic-MusiqueWeb shall have absolute discretion as to whether donations forms submitted by the Affiliate or Visitors/Donators shall be accepted.

If a prospect arrives, incidently, at URL http://wm-mw.org , hosting the WM-MW cooperative site, he/she will be redirected randomly to a Qualified DJ's site.

5. SPAMMING
Spamming and non respect of the anti-spamming WM-MW policy is cause for immediate termination of the rights as an Affiliate and expulsion from the WebMusic-MusiqueWeb network.

6. SHARES
The Affiliate shall be entitled to his/her share of 33 1/3% on the volume of net donations generated, thanks to his/her WM-MW Affiliate site.

The Affiliate will also receive his/her share of 1 %, 2 % or 3 % on the volume of net donations generated through his/her network of Affiliates, if he/she is a Bronze, Silver or Gold Qualified DJ, according to his/her personal status, in accordance with the shares policies of WebMusic-MusiqueWeb, as amended, revised or varied from time to time by WebMusic-MusiqueWeb, in its sole and absolute discretion.

The Affiliate, who becomes a Gold 15 Qualified DJ, has the right to participate to the special program reserved to the Gold 15 Qualified DJs Club members.

Affiliates, who are also composers and/or songwriters, contributing to the WebMusic-MusiqueWeb International Discography, by supplying original material as independent songwriters and composers, will have the right to share the "Artists' Pool", once a year, at pro-rata of their personal contribution to the WebMusic-MusiqueWeb International Discography.

This "Pool" will be feeded by 3 % put aside on the volume of net donations generated and cashed by the WebMusic-MusiqueWeb international network.

The WM-MW network will also credit a $10 US value to his Download Center, for each song supplied by a composer and songwriter to the WM-MW Discography.

WM-MW will also credit 1 free week at the "Together Artists Houses and Ecovillage", to be acquired by the "Together International Foundation", for each slice of 10 original songs supplied to the Together Discography by the independent composer and songwriter.

7. REPORTS
The Affiliate is responsible for any reporting, payments or contributions required to be made under laws, the Income Tax Act, the Unemployment Insurance Act, the Excise Act or any other statutes which may apply to the Affiliate from time to time, in connection with shares paid under this Agreement, in his/her own province, state or country.

8. ACKNOWLEDGMENTS
The Affiliate covenants and agrees:

(a) to act truthfully, honestly and with integrity in getting donations for "Together Collections", strictly in accordance with policies and procedures of WebMusic-MusiqueWeb;

(b) that the 1 - 2 - 3 Affiliate plan, geneology reports, lists of Donators, Affiliates, WebMusic-MusiqueWeb electronic literature and materials of all types are all proprietary information and trade secrets of WebMusic-MusiqueWeb and are not to be copied or distributed or used without the written consent of WebMusic-MusiqueWeb;

(c) Affiliates that are corporations, partnerships, Foundations or similar entities, must provide copies of such agreements, resolutions, government authorizations and approvals, names and addresses of partners, officers and directors and similar material as and when requested by WebMusic-MusiqueWeb;

(d) no regulatory authority ever endorses or approves any product, service, affiliate program, company, corporation, agency or other organization.

9. TERMINATION RIGHTS
Termination of this Agreement shall not operate as a cancellation of any share or indebtedness owing to one party by the other at the time of such termination. The Affiliate shall be remunerated for any volume of net donations collected and submitted at the time of termination and which can be processed by WebMusic-MusiqueWeb within 21 days after termination and otherwise in accordance with share policies of WebMusic-MusiqueWeb. Any share otherwise payable will be paid for only one year after termination.

10. EXCUSE FOR NON-PERFORMANCE
Neither WebMusic-MusiqueWeb nor the Affiliate shall be liable for any delay in performance or non-performance due to any events in whole or partially beyond the control of WebMusic-MusiqueWeb or the Affiliate.

11. PRODUCT LIABILITY AND COMPOSERS/SONGWRITERS RIGHTS
The Affiliate will not be held responsible for songs delivered by WebMusic-MusiqueWeb, save in case of misleading and careless from his/her part.

Shares to be splitted between songwriters and composers will be managed by WebMusic-MusiqueWeb, according to the agreements between WebMusic-MusiqueWeb and independent composers and songwriters or their representatives.

12. MEDIAS USE OF COMPOSER'S AND SONGWRITER'S WORKS
The independent composer and songwriter understands that he/she is responsible for any previous signed enrollment or agreement and that WM-MW cannot be linked by it or responsible in any way for it.

The independent composer and songwriter declares that he/she is the composer and/or songwriter of his/her songs and he/she owns his/her rights or never gave them to any other party.

The composer and songwriter accepts and gives full rights to WM-MW to diffuse his/her music through its affiliated medias, without any additional compensations or monies, save all shares and priviledges already covered by this agreement.

The independent composer and songwriter acknowledges that he/she has to declare the existence of this agreement to any concerned edition or distribution house or parties, if any.

WM-MW gets the exclusive rights for electronic distribution of his/her works and has the rights to use affiliated medias for diffusing and promoting all works supplied by the independent composer and songwriter, without any limitation.

The composer and songwriter permits electronic diffusion of his/her works freely, without any other compensation or advantages that those already covered by this agreement, and will not claim for any other rights to diffusing medias or WM-MW.

It is clearly understood that the participating independent composers and songwriters always stay the sole owners of their creations and benefit from numerous additional advantages you can see by clicking here or here.

WebMusic-MusiqueWeb will send an e-mail to the independent composer and songwriter, advising him/her of any change or modification to this agreement. If no answer is received within 90 days from notification to the independent composer and songwriter, change or modification will be considered as accepted by the independent composer and songwriter and will become in full force.

13. INDEMNITY
The Affiliate shall indemnify WebMusic-MusiqueWeb for all costs, expenses or damages, including legal fees on a solicitor and those of its Affiliates, resulting from a breach by the Affiliate of these terms and conditions and this indemnity shall survive termination of this Agreement.

14. RELATIONSHIP OF THE PARTIES
Save as specifically relating to the position of Affiliate, nothing in these terms and conditions or otherwise shall be construed as constituting the Affiliate as an agent or legal representative of WebMusic-MusiqueWeb, for any purpose whatsoever.

All obligations to be performed by the Affiliate under these terms and conditions shall be performed by him/her as an independent contractor and not an employee.

The Affiliate is not authorized to transact business, incur obligations, sell goods, receive payments, accept orders or assign or create any obligation of any kind, express or implied, on behalf of WebMusic-MusiqueWeb, or to bind it in any way whatsoever, or to make any promise, warranty or representation on behalf of WebMusic-MusiqueWeb with respect to the donations or any other matter, except as expressly authorized in writing by WebMusic-MusiqueWeb.

The rights of the Affiliate herein are personal and cannot be assigned without written consent by WebMusic-MusiqueWeb.

In the event of death, the rights herein may vest in the estate of the Affiliate.

If the Affiliate is a corporation, Foundation or of any other form than an individual, the Affiliate will need an electronic written permission from WebMusic-MusiqueWeb in order to transfer his/her rights as an Affiliate, in case of sale or merger.

15. ACCEPTANCE
The appointment herein and these terms and conditions shall not become effective until accepted by WebMusic-MusiqueWeb.
